1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Bistro Steward ("Service"), a software-as-a-service platform provided by Bistro Steward ("we," "us," or "our"). By creating an account, clicking "Start free trial," or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Bistro Steward is a multi-tenant web application that helps restaurants manage ingredients, inventory, recipes, prep, menus, shopping lists, vendors, and related kitchen operations. Features may change over time as we add, remove, or improve functionality.

4. Free Trial and Billing

4.1 Free trial

New accounts receive a 30-day free trial. Your payment method is verified at signup but is not charged during the trial. If you cancel before the trial ends, you will not be charged.

4.2 Subscription fees

After the trial, your selected plan auto-renews on a monthly basis at the rate shown at signup. All fees are in U.S. dollars and are non-refundable except as required by law.

4.3 Payment processor

Payments are processed by Square, Inc. We do not store your full card number or CVV. Use of the Service is subject to Square's own terms in addition to ours.

4.4 Price changes

We may change subscription prices with at least 30 days' written notice to the email on file. Continued use after the effective date constitutes acceptance.

4.5 Cancellation

You may cancel at any time by emailing support@bistrosteward.com or using the in-app cancellation option. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued.

4.6 Late payment

If a charge fails, we may suspend or terminate your account after reasonable notice. You remain responsible for amounts owed.

6.1 Ownership

You retain all rights to the data, recipes, menus, and other content you enter into the Service ("Customer Data"). You grant us a limited license to host, copy, process, and display Customer Data solely to operate, secure, and improve the Service for you.

6.2 Export and deletion

You may export your data at any time through in-app export features. On cancellation, we retain your data for 30 days so you can reactivate, then delete it within a further 60 days except where retention is required by law. You may request earlier deletion by emailing support@bistrosteward.com.

6.3 AI features

Some features (e.g. recipe scanning, inventory scan) send Customer Data to third-party AI providers (currently Google Gemini) to return results. We do not train public AI models on your Customer Data. See our Privacy Policy for details.

7. Intellectual Property

The Service, including all software, design, branding, and documentation, is owned by Bistro Steward and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your paid subscription. Nothing in these Terms transfers ownership of our IP to you.

8. Third-Party Services

The Service integrates with third-party providers including Google (Firebase, Gemini), Square (billing), and email delivery services. Their terms and privacy policies apply to data we route through them. We are not responsible for third-party outages or changes.

9. Warranty Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will be accurate. You are responsible for verifying critical information (e.g. allergen information, food cost figures) before relying on it.

10. Limitation of Liability

To the maximum extent permitted by law, Bistro Steward shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability shall not exceed the greater of $100 or the amount you paid us in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Bistro Steward from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your violation of these Terms, or your violation of any third-party right.

12. Suspension and Termination

We may suspend or terminate your account at any time if you materially breach these Terms or fail to pay amounts due. Upon termination, your license to use the Service ends immediately, and Section 6.2 (data retention) applies.

13. Modifications to the Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.

14. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws rules. Any dispute shall be resolved exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to the jurisdiction of those courts.

15. Miscellaneous

These Terms, along with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale.
